A non-disclosure agreement (NDA) is an agreement in which two parties agree to keep certain information confidential in situations where that information is shared.
Situations may arise in your organisation where, for example, a temporary worker is given access to confidential information, or confidential information is shared in negotiations on a collaboration or takeover. In such cases, an NDA should ensure that the information shared remains confidential and is not shared with any other parties. The NDA can be entered into unilaterally (only one of the parties provides information) or bilaterally (both parties provide information to each other).
